1. Nature of the Platform
Celestix AI ("Platform," "we," "our") is a statistical analytics platform that processes publicly available federal procurement data. The Platform computes mathematical observations by comparing individual contract attributes against peer-group baselines using standardized statistical methods.
The Platform does NOT:
- Make allegations of fraud, waste, abuse, or misconduct
- Render legal opinions or conclusions
- Provide legal, financial, or investment advice
- Act as a government auditor or investigator
- Make determinations of guilt, liability, or wrongdoing
- Substitute for professional judgment of any kind
All outputs — including signals, scores, classifications, visualizations, and reports — are STATISTICAL OBSERVATIONS, not findings, conclusions, or accusations.
2. Data Sources and Methodology
2.1 Data Sources
The Platform processes data from the following publicly available sources: the Federal Procurement Data System (FPDS), USAspending.gov, SAM.gov, the Bureau of Labor Statistics (BLS), the Government Accountability Office (GAO), SEC EDGAR, and Inspector General (IG) Reports. No classified, proprietary, leaked, or non-public data is used.
2.2 Analytical Methods
The Platform employs the following methodologies: statistical deviation analysis, peer-group comparison using log-normalized z-scores, temporal pattern detection, network graph analysis, and iterative signal propagation algorithms.
2.3 Definition of "Signals"
"Signals" are deviations from peer-group baselines. A signal does NOT indicate wrongdoing of any kind.
2.4 Confidence Classifications
Confidence classifications (HIGH/MODERATE/LOW/BASELINE) reflect the number and diversity of signals, NOT the likelihood of any impropriety.
3. Disclaimer of Liability
3.1
ALL OUTPUTS GENERATED BY THE PLATFORM ARE STATISTICAL OBSERVATIONS ONLY. THEY ARE NOT FINDINGS, ALLEGATIONS, OR EVIDENCE OF ANY KIND.
3.2
ALL STATISTICAL OBSERVATIONS REQUIRE INDEPENDENT VERIFICATION BEFORE ANY ACTION IS TAKEN BASED UPON THEM.
3.3 Legitimate Explanations
Statistical deviations may have entirely legitimate explanations, including but not limited to:
- Site-specific conditions
- Emergency procurements
- Specialized requirements
- Market fluctuations
- Scope changes
- Legitimate exercise of contracting officer discretion
3.4
THE PLATFORM AND ALL OUTPUTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL CELESTIX AI BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE PLATFORM OR ITS OUTPUTS, REGARDLESS OF THE THEORY OF LIABILITY.
4. Permitted and Prohibited Uses
4.1 Permitted Uses
- Market research
- Statistical analysis
- Academic research
- Journalism
- Informing professional judgment
- Identifying areas for further investigation
4.2 Prohibited Uses
- Using Platform outputs as the sole basis for legal filings without independent verification
- Representing outputs as findings or evidence
- Harassment or defamation of any individual or entity
- Republishing outputs in a manner that implies misconduct
- Automated scraping without prior written authorization
5. Data Accuracy and Corrections
5.1
The Platform processes data as published by government sources and does not independently verify the accuracy of underlying government records.
5.2 Correction Requests
Correction requests may be submitted to corrections@celestix.ai and must include: the specific data point at issue, the specific error alleged, and supporting documentation.
5.3
Correction requests will be reviewed within 30 business days. If a factual error in source data is confirmed, a notation will be added. If the error originates in government source data, the requester will be directed to the appropriate government correction process.
5.4
The Platform will NOT remove contracts or statistical observations based on requests alone.
5.5
The Platform will NOT alter statistical computations because a user disagrees with the result. All computations are deterministic and reproducible.
6. Intellectual Property
6.1
All algorithms, methodologies, signal definitions, and scoring systems are proprietary to Celestix AI and constitute trade secrets protected by applicable law.
6.2
Publicly available government data is not owned by the Platform. However, analytical outputs, including computed scores, signal classifications, and derived visualizations, are original works of Celestix AI.
6.3
Users may not reverse engineer, decompile, or otherwise attempt to derive the source code, algorithms, or methodologies of the Platform.
7. User Accounts and Access Tiers
7.1 Access Tiers
- PUBLIC: Aggregate-level data, no registration required, subject to temporal delay
- AUTHORIZED: Detailed data access, registration required
- ENTERPRISE: Full platform access, subject to a separate agreement
7.2
Features and access levels are subject to change at the discretion of Celestix AI.
8. Responses to Legal Inquiries
8.1
Celestix AI takes all legal inquiries seriously and responds in good faith.
8.2
Legal inquiries should be directed to legal@celestix.ai.
8.3
The Platform's standard response to legal inquiries is as follows: All outputs are statistical observations derived from publicly available data. The Platform does not make allegations of any kind. The Platform will not remove or alter mathematical results based on legal demands.
8.4 First Amendment Protection
The publication of lawfully obtained public data is protected by the First Amendment to the United States Constitution. See Bartnicki v. Vopper, 532 U.S. 514 (2001); Smith v. Daily Mail Publishing Co., 443 U.S. 97 (1979).
9. Indemnification
You agree to indemnify, defend, and hold harmless Celestix AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your misrepresentation of Platform outputs
- Any actions taken based on Platform outputs
10. Dispute Resolution
10.1
Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered under the American Arbitration Association (AAA) Commercial Arbitration Rules.
10.2
The seat of arbitration shall be Dallas County, Texas.
10.3
The arbitration award shall be final and binding on all parties.
10.4
Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that a claim or defense was frivolous.
10.5 Class Action Waiver
ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
12. Modifications
Celestix AI reserves the right to modify these Terms at any time. Continued use of the Platform following any modifications constitutes acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
